Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in the CodyCo Hack & Back event (“Event”), organized by CodyCo, an affiliate of CodyMD. By attending, registering for, or participating in the Event in any capacity—including but not limited to Hackers, Backers, Experts, Judges, and Observers (collectively, “Participants”)—each Participant agrees to be bound by and comply with the following Terms.

1. Acceptance of Terms

1.1 Binding Agreement
Participation in the Event indicates acceptance of these Terms and any additional guidelines or policies referenced. If any Participant does not agree to these Terms, the Participant should not attend or participate in the Event.

1.2 Age Requirement
Participants must be at least 18 years of age or have the express permission of a parent or legal guardian, which must be obtained prior to registration. By attending the Event, the Participant warrants that they meet these requirements.

1.3 Modifications to Terms
CodyCo reserves the right, at its sole discretion, to modify or update these Terms at any time. Any material changes will be announced via official Event communication channels. Continued participation after such modifications or updates shall constitute acceptance of the new Terms.

2. Intellectual Property and Public Domain

2.1 Open Source Environment
All information, ideas, projects, discussions, presentations, and materials shared or created at the Event are considered part of the public domain and open source, unless explicitly protected by trademarks, copyrights, patents, or other intellectual property (“IP”) rights owned and expressly identified by a Participant or third party.

2.2 Pre-Existing IP
If a Participant brings any pre-existing IP into the Event, it remains the sole property of that Participant (or the third party from whom rights are derived). Such IP should be clearly identified as protected prior to disclosure to avoid any confusion.

2.3 Participant Obligations

  • Proper Attribution: Participants agree to properly cite and reference all external sources used in their projects, ensuring they have necessary permissions.

  • Respect for IP Rights: Participants shall not knowingly infringe on third-party IP rights or use proprietary materials without permission.

  • Liability: Each Participant is solely responsible for any claim arising from the use or infringement of third-party IP in their work.

3. Project Ownership

3.1 Ownership by Hackers
Projects developed during the Event (“Projects”) are owned by the Hackers who create them. Hackers retain all rights, title, and interest in their Projects unless such Projects incorporate IP owned by another Participant or third party.

3.2 Collaboration Agreements
If a Project is developed in a team setting, it is the responsibility of the team members to determine ownership interests and any revenue-sharing or licensing arrangements among themselves. CodyCo does not mediate such matters.

3.3 Responsibilities of Verification
Participants must verify they have rights and permissions to any IP integrated into their Projects. CodyCo disclaims responsibility and liability for any unauthorized use of IP.

4. Prizes and Awards

4.1 Sole Discretion of CodyCo
The distribution of prizes, funding, awards, or other forms of recognition is at the sole discretion of CodyCo. CodyCo’s determinations of winners, prize allocations, or recognition are final, binding, and not subject to appeal.

4.2 Conditions of Receipt
Any Participant or team receiving a prize or award may be required to execute additional documentation (e.g., tax forms, affidavits of eligibility, release forms) and fulfill all applicable conditions to receive said prize or award.

4.3 No Guarantee of Monetary Benefit
Attendance or participation in the Event does not guarantee the receipt of any monetary benefit, prize, or future investment.

5. Code of Conduct

5.1 Professional and Respectful Behavior
Participants shall conduct themselves in a professional, respectful manner at all times. Harassment, discrimination, hate speech, offensive language or actions, or any form of inappropriate behavior will not be tolerated.

5.2 Zero Tolerance Policy
CodyCo reserves the right, in its sole discretion, to remove or disqualify any Participant from the Event for behavior deemed inappropriate, harmful, disruptive, or contrary to these Terms.

5.3 Safe Environment
The Event is intended to be safe for work and welcoming to all attendees. Participants agree to comply with any rules or instructions from CodyCo staff or venue personnel designed to maintain a secure environment.

5.4 Reporting Misconduct
Any Participant who experiences or witnesses inappropriate behavior is encouraged to promptly report it to CodyCo’s designated Event coordinators.

6. Dispute Resolution

6.1 Good Faith Mediation
Any dispute, controversy, or claim arising out of or relating to these Terms or the Event shall first be resolved through good-faith mediation. The parties involved shall cooperate to select a neutral mediator within 30 days of the dispute arising.

6.2 Arbitration
If the dispute is not resolved by mediation, it shall be submitted to binding arbitration administered by the American Arbitration Association in Portland, Oregon. The decision of the arbitrator(s) shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

6.3 No Class Action
Participants agree that any disputes shall be resolved on an individual basis. No class or collective actions or arbitration proceedings shall be pursued by any Participant against CodyCo.

7. Compensation and Expenses

7.1 Voluntary Participation
Participation in the Event is voluntary. CodyCo does not provide any guarantee or promise of compensation to Participants unless otherwise explicitly stated in official Event materials.

7.2 No Reimbursement
All expenses incurred by Participants, including travel, lodging, materials, and related costs, are the sole responsibility of the Participant. CodyCo shall not be liable for any expense, loss, or damage incurred by Participants.

8. Amenities and Expectations

8.1 Event Amenities
CodyCo will provide the basic amenities, services, or resources specified in official Event materials (e.g., access to power, internet, or basic workspaces). These resources are provided on an “as is” basis.

8.2 No Additional Accommodations
Participants should not expect any additional accommodations or resources beyond what is explicitly described. While CodyCo endeavors to provide a conducive hacking environment, unforeseen issues (e.g., power outages, internet disruptions) may arise.

8.3 Force Majeure
CodyCo shall not be considered in default under these Terms, nor liable for failure to provide amenities, if such failure is caused by fire, flood, strike, act of God, pandemic, governmental action, or any other event beyond the reasonable control of CodyCo.

9. Funding and Deals

9.1 No Guarantee of Funding
Attendance at the Event does not guarantee any form of funding, investment, or business agreement. CodyCo makes no representation regarding the availability, acceptance, or appropriateness of any funding or investment that may arise.

9.2 Independent Negotiations
Participants may engage in independent negotiations with sponsors, mentors, or other Participants regarding potential funding or partnerships. CodyCo is not a party to such negotiations and does not mediate or endorse any resulting agreement.

10. Media and Recordings

10.1 Photography and Videography
Participants acknowledge that CodyCo or its representatives may capture photographs, audio, or video of the Event, which may include Participant images, likenesses, or voices. By attending the Event, Participants grant CodyCo permission to use such media for promotional, commercial, or educational purposes without compensation.

10.2 Participant Recordings
Participants may record or photograph portions of the Event for personal use, provided such recordings do not disrupt activities or infringe on the privacy or IP rights of other Participants.

10.3 Revocation of Consent
If a Participant objects to the use of their image or likeness, they must notify CodyCo in writing prior to the start of the Event. CodyCo will make reasonable efforts to honor such requests but cannot guarantee complete removal of previously captured media.

11. Privacy and Data Protection

11.1 Collection of Personal Information
CodyCo may collect certain personal data (e.g., name, email, affiliation) during registration and participation in the Event. This information is used to facilitate the Event’s logistics and communications.

11.2 Data Usage
By participating in the Event, Participants consent to the collection and use of their personal data by CodyCo for organizational purposes, such as sending Event updates, administering registration, and coordinating post-Event follow-ups.

11.3 Third-Party Services
If the Event relies on third-party platforms or services (e.g., online registration or collaboration tools), Participants understand that their personal data may be processed by those third parties in accordance with each third party’s privacy policy.

12. Liability and Indemnification

12.1 Disclaimer of Warranties
Participation in the Event, including any products, services, or materials provided, is on an “as is” and “as available” basis without warranties of any kind. CodyCo disclaims all warranties, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, and non-infringement.

12.2 Limitation of Liability
To the maximum extent permitted by law, CodyCo, its affiliates, partners, and sponsors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the Event, even if advised of the possibility of such damages.

12.3 Indemnification
Participants agree to indemnify, defend, and hold harmless CodyCo, its affiliates, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • A Participant’s breach of these Terms;

  • Violation of any law or rights of a third party;

  • Use or misuse of any third-party intellectual property.

13. Cancellations, Changes, and Termination

13.1 Right to Cancel or Postpone
CodyCo reserves the right to cancel, postpone, or modify the Event for any reason, including without limitation, insufficient participation, venue unavailability, or situations beyond CodyCo’s control.

13.2 Participant Withdrawal
Participants may withdraw from the Event at any time. However, no refunds, compensation, or other remuneration will be provided for any losses or costs incurred by such withdrawal.

13.3 Effect of Termination
Upon cancellation or termination of the Event, these Terms shall cease to apply, except for clauses intended to survive termination, including but not limited to Sections related to intellectual property, liability, and dispute resolution.

14. Governing Law and Venue

14.1 Governing Law
These Terms and any dispute arising under or in connection with them shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to conflict-of-law principles.

14.2 Venue for Arbitration
Any arbitration proceedings shall be conducted in Portland, Oregon, in accordance with the dispute resolution provisions detailed in Section 6.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court or arbitrator, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with any additional rules or policies referenced herein or provided by CodyCo in connection with the Event, constitute the entire understanding between Participants and CodyCo and supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Event.
